1. PREAMBLE
These General Terms and Conditions of Sale (GTCS) govern the contractual relationship between MICALINK, a SAS registered under SIRET number 94918211700026 with its head office at 5 Rue Nadia Murad, 93140 Bondy, and any professional or individual customer wishing to benefit from its services in:
- Cybersecurity and digital consulting and auditing
- Certified professional training
- IT & cybersecurity talent placement
By accepting these GTCS, the client unconditionally agrees to all of its provisions.
2. PURPOSE AND SCOPE
These GTCS define the rights and obligations of the parties regarding the services provided by MICALINK. They apply to any service order placed by the client, excluding any other conditions.
3. ORDERS AND VALIDATION
Order Process:
- Every order is preceded by a detailed quote serving as a contractual proposal.
- The order is validated upon receipt of the signed quote and the client’s acceptance of the GTCS.
- Any modifications after validation will require an addendum.
Right of Withdrawal (for individuals only):
- In accordance with the Consumer Code, a 14-day withdrawal period applies, unless the service has started with the client’s consent.
- The withdrawal request must be made by email to infos@micalink.com.
4. PRICES, BILLING, AND PAYMENT
Pricing:
- Prices are stated in euros and excluding VAT (HT).
- The applicable VAT is the one in effect in France at the time of billing.
Billing and Payment Terms:
- 50% deposit upon order and the balance upon service completion, unless specified otherwise.
- Accepted payment methods: bank transfer, credit card, online payment.
- In case of delay, late payment penalties (legal rate + 3 points) and a flat fee of €40 will apply.
5. OBLIGATIONS AND RESPONSIBILITIES
MICALINK’s Obligations:
- To provide services in compliance with the industry standards and applicable regulations.
- To implement all necessary means to complete the mission within the agreed deadlines.
Client’s Obligations:
- To provide all necessary information and access for the proper execution of the contract.
- To settle invoices within the agreed timelines.
Limitation of Liability:
- MICALINK cannot be held liable for indirect damages.
- In case of proven fault, MICALINK’s liability is limited to the amount of the service concerned.
6. PERSONAL DATA PROTECTION (GDPR COMPLIANCE)
MICALINK commits to comply with the General Data Protection Regulation (GDPR – EU Regulation 2016/679).
Data Collection and Processing:
- Collected data: Identity, contact details, training/service history.
- Purpose: Order management, client follow-up, service improvement.
User Rights:
- Access, correction, deletion, and objection rights at any time via email at infos@micalink.com.
Data Security:
- MICALINK implements protection measures in line with industry standards.
7. FORCE MAJEURE
MICALINK cannot be held responsible for any delay or failure to perform the contract due to a force majeure event (natural disaster, cyberattack, pandemic, strike, etc.).
8. COMPLAINTS AND DISPUTES
Complaints: Any request must be sent to infos@micalink.com.
Mediation: In case of dispute, the client may use a consumer mediator.
Competent Court: Any dispute will be subject to the jurisdiction of Bobigny (93), unless resolved amicably beforehand.
